TERMS OF USE
1. SCOPE OF AGREEMENT
The following Terms of Use (“Agreement”) governs your use of the website with the URL www.TalentBenchstrengthCourses.com (“Site”), which houses course content authored by Doris Sims Spies, SPHR, who is the Founder and Manager of Talent Benchstrength Solutions, LLC. The Site houses course content associated with the name The Talent Benchstrength E-Learning Course Platform. Talent Benchstrength is a registered trademark owned by Doris Sims Spies.
By accessing the Sites, you agree to be bound by and comply with the terms and conditions of this Agreement. If, at any time, you choose not to accept the terms and conditions of this Agreement, do not access or use the Sites in any manner.
Please take a few minutes to read this Agreement carefully.
IMPORTANT: All content on the Sites is provided solely to assist users in exercising their own best judgment and at their own risk. Site content does not provide legal advice. Business leaders and their Human Resource partners are advised to work with professional legal counsel to review and approve all talent assessment, succession planning, and high potential identification and development strategic plans, processes and programs created and implemented within their own organization.
Doris Sims Spies and/or Talent Benchstrength Solutions, LLC reserves the right to refuse service and/or access to The Platform at any time, for any reason or for no reason at all.
2. INFORMATION AND PASSWORDS
You may register and create a personal account to access certain features and functions of the Sites. You are solely responsible for maintaining the confidentiality of the user ID and password, and are fully responsible for all activities that occur under your account. Neither Doris Spies nor Talent Benchstrength Solutions, LLC retains any liability or responsibility for such use.
Prior to creating a personal account, you must read, agree with and accept all of the terms and conditions contained in this Terms of Service agreement, as well as Talent Benchstrength Solutions’ Privacy Policy, before you may become a User of the Talent Benchstrength E-Learning Course Platform (“The Platform”).
You must be 18 years or older or at least the age of majority in the jurisdiction where you reside to subscribe to and to access The Platform.
You must provide your full legal name, current address, a valid email address, and any other information needed in order to complete the signup process.
You acknowledge that Doris Spies and/or Talent Benchstrength Solutions, LLC will use the email address you provide as the primary method for communication. You agree that your subscription is tied to this one email address and is not transferrable to other individuals, groups and/or to any other email address.
You are responsible for keeping your password secure. Doris Spies and/or Talent Benchstrength Solutions, LLC cannot and will not be liable for any loss or damage from your failure to maintain the security of your account and password, nor for any breach of security associated with your email address, password and/or identity.
The person signing up for the Platform will be the contracting party (“User”) for the purposes of our Terms of Service and will be the person who is authorized to use any corresponding account we may provide to the User in connection with the Platform.
If you are signing up for the Platform on behalf of your employer, your employer shall be the Owner of the User Account. If you are signing up for the Service on behalf of your employer, then you represent and warrant that you have the authority to bind your employer to our Terms of Service. You also agree that if you leave the employment of the employer who paid for your subscription, your User subscription is not transferrable to your new organization. If you paid for your Monthly or Annual Subscription, your subscription follows you and your email address.
3. USER CONTENT AND ACCOUNT INFORMATION
User Content includes but is not limited to, any text, images, photos, audio, video, location data, ratings, reviews, compilations, messages or other information that is publicly displayed by you; for example, content you submit as a Discussion topic in a course, feedback you provide on course content, and/or course reviews and ratings. Users who submit User Content are responsible to affirm that any information in the content is legally accurate, but neither Doris Spies nor Talent Benchstrength Solutions, LLC verifies the legal accuracy of the information submitted by users.
By submitting User Content to any part of the Sites, you represent and warrant that:
You are the sole author and owner of any intellectual property protected User Content you submit;
You are solely responsible for any contributions, comments or postings you submit, including any feedback or questions;
All User Content that you post is legally accurate and/or aligned with employment law;
You are at least 18 years old;
Your use of the User Content does not violate this Agreement and will not cause injury to any person or entity;
You have not been offered, have not accepted, and are not entitled to receive any compensation in any form and from any party in connection with submitted User Content; and
You will indemnify, defend and hold harmless Doris Spies and/or Talent Benchstrength Solutions, LLC, including its officers, managers, employees and agents from any third-party claim(s) and any damages, losses or injuries resulting from the display of your User Content.
You further agree and warrant that you will not:
Submit any User Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful or racially, ethnically or otherwise objectionable;
Submit any User Content that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software, hardware or telecommunications equipment;
Submit any User Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
Submit any User Content that is false or misleading;
Use the Sites for sales and marketing purposes;
Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity;
Invade another’s privacy in any way, including posting another’s personal details without their prior permission;
Manipulate identifiers in order to disguise the origin of any User Content submitted;
Act in a manner that affects other users’ ability to engage in real time exchanges;
Intentionally or unintentionally violate any applicable local, state, provincial, national or international law.
You acknowledge that Doris Spies and/or Talent Benchstrength Solutions, LLC and its affiliates have the right in their sole discretion, to remove, refuse, move, edit or delete any User Content submitted, regardless of whether such content violates this Agreement.
Any submission to the Sites will be deemed and remain the property of Talent Benchstrength Solutions, LLC and can be used for training and/or marketing purposes. By submitting User Content to the Sites you hereby grant Talent Benchstrength Solutions, LLC and its affiliates a royalty-free, perpetual, irrevocable, world-wide license to use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform and display the User Content in any media or medium, form, format or forum.
Doris Spies and/or Talent Benchstrength Solutions, LLC shall not be subject to any obligations of confidentiality regarding User Content except as expressly agreed by Doris Spies and/or Talent Benchstrength Solutions, LLC, or as otherwise required by applicable law. Nothing contained in this Agreement shall be construed as limiting Doris Spies’ and/or Talent Benchstrength Solutions, LLC’s rights, responsibilities and obligations under its Privacy Policy.
Users shall not purchase search engine or other pay per click keywords (such as Google AdWords), or domain names that use the name of Doris Spies and/or Doris Sims Spies, and/or trademarks and/or variations and misspellings thereof for either Doris Sims Spies or of Talent Benchstrength Solutions, LLC.
Doris Spies and/or Talent Benchstrength Solutions, LLC reserves the right to provide our services to your competitors and make no promise of exclusivity in any particular market segment. You further acknowledge and agree that Doris Spies and/or Talent Benchstrength Solutions, LLC may compete with you, although they may not use your confidential information in doing so.
In the event of a dispute regarding account ownership, we reserve the right to request documentation to determine or confirm account ownership. Documentation may include, but is not limited to, a scanned copy of your business license, government issued photo ID, the last four digits of the credit card on file, etc.
Doris Spies retains the right to determine, in her sole judgment, rightful account ownership and transfer an account to the rightful owner. If we are unable to reasonably determine the rightful account owner, Doris Spies reserves the right to temporarily disable an account until resolution has been determined between the disputing parties.
Therefore, we can modify, cancel or refuse the service at any time.
In the event of an ownership dispute over a Site account, we can freeze the account or transfer it to the rightful owner.
4. INTELLECTUAL PROPERTY
Doris Spies retains all right, title and interest, including all intellectual property rights, in and to the information and content on the Sites, including, without limitation, any text, graphics, diagrams, templates, tools, forms, animated artworks, logos, buttons, icons, images, videos and audio clips (“Spies’ Content”) with the exception of royalty-free clip art, video and graphics purchased by Talent Benchstrength Solutions, LLC.
IMPORTANT: This Agreement does not grant the User, nor the User’s organization, partners or other affiliates, any right, title, or interest in any intellectual property owned or licensed by Doris Spies and/or Talent Benchstrength Solutions, LLC, including Doris Spies’ and/or Talent Benchstrength Solutions, LLC registered copyrights, copyrighted works (“Copyrighted Content”), trademarks, service marks, logos, brand names, trade dress and trade names (“Trademarks”). All copyrighted rights reserved for content authored by Doris Spies (former name Doris Sims).
Downloadable handouts and templates are provided as part of the benefit of a subscription to the Talent Benchstrength Course Platform (“Platform”); subscribers to the Platform receive a temporary license, while the User is subscribed to the Platform, to copy and to distribute the downloadable handouts within their organization of employment; however, in no way does this temporary license transfer the ownership or and/or the intellectual property rights of Doris Spies to the User, or to the User’s employment or business organization.
You have no rights in or to such Spies’ Content or Trademarks and you will not use any Spies’ Content or Trademarks, except as specifically permitted under this Agreement. You may not do or allow anyone else to do anything with the Spies’ Content or Trademarks which is not specifically permitted under this Agreement. You may not use or display Talent Benchstrength Solutions, LLC Trademarks in any manner without prior written consent from Doris Spies, Manager of Talent Benchstrength Solutions, LLC. Unless we specifically consent in writing, Talent Benchstrength Trademarks may not be used in connection with any product or service that does not belong to us, in any manner that is likely to cause confusion, or in any manner that disparages or discredits Doris Spies or Talent Benchstrength Solutions, LLC.
Unless otherwise specifically set forth on the Sites or unless written consent is provided, you may only use and access, download and copy the Downloadable Handout Content for your personal, non-commercial use, and you will not alter, erase or otherwise obscure our copyright, trademark, proprietary or other notices on The Platform Content. You will not use content from the Platform, nor from any Downloadable Handouts on the Platform for revenue-producing purposes, including any and all sales and marketing actions.
Monthly and/or Annual Subscriptions are available to one individual User who has paid for the subscription, or whose’ employment organization has paid for the User’s Subscription (“Paid Subscriber”). Course Content and/or Audio or Video Content can not be displayed to anyone other than the Paid Subscriber without an Enterprise Subscription, which includes a separate executed Agreement which states the rights of the Enterprise Organization.
The Monthly or Annual Subscription belongs to the individual who is assigned to and/or who has the rights to the email address used for the subscription. An Enterprise Subscription provides rights for Use by the organization who has purchased the Enterprise Subscription. In no case, and with no type of Site Subscription, are intellectual property rights owned and authored by Doris Spies transferred to any other individual or organization.
You acknowledge and agree that the Spies’ Content is made available for informational and educational purposes only, and is provided to assist you in exercising your own judgment. Spies’ Content is not a substitute for legal advice or your best judgment. The accuracy of Spies’ Content is not guaranteed, and Spies’ Content makes no representation or warranty of any kind. Spies Content and/or the Platform Content does not give legal advice. Your reliance upon Spies’ Content obtained through the Sites is solely at your own risk. All rights not expressly granted in this Agreement are reserved to us.
5. NOTIFICATION OF INFRINGING COPYRIGHT-PROTECTED CONTENT
Material may be made available on the Sites by third parties not within our control. We are under no obligation to, and do not, scan material used in connection with the Sites for the inclusion of illegal or impermissible Content. However, we respect the copyright interests of others. It is our policy not to permit material known by us to infringe upon another party's copyright to remain on the Sites.
To notify Doris Spies and/or Talent Benchstrength Solutions, LLC of alleged copyright or trademark infringement on the Sites, in accordance with 17 U.S.C. §512(C)(3), you should provide us with written notice that at a minimum contains:
A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works;
Identification of the copyrighted work that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit Doris Spies and/or Talent Benchstrength Solutions, LLC to locate the material;
Information reasonably sufficient to permit Doris Spies or Talent Benchstrength Solutions, LLC to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted;
A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Upon receipt of the above information, Doris Spies and/or associates of Talent Benchstrength Solutions, LLC will promptly investigate and take appropriate action, then notify you of that action at the contact address provided.
6. TECHNICAL SUPPORT
Requests for technical support are only available through email communications to [email protected] or through the Contact Us online form on the Platform site. While every effort will be made to handle technical requests in a timely manner, time will be needed for consultation with the Platform technical personnel for assistance.
7. COMPLIANCE
You expressly agree that the Sites may only be used for lawful purposes as governed by any applicable international, national/federal, state, provincial or local laws, statutes, and regulations. You may not use the Sites in any way that could result in criminal or civil liability. Use of the Sites from outside of the United States shall be in compliance with the laws of the jurisdiction from which you access the Sites.
8. DISCLAIMER OF WARRANTY
DORIS SPIES AND/OR TALENT BENCHSTRENGTH SOLUTIONS, LLC DOES NOT WARRANT OR GUARANTEE THE ACCURACY, ADEQUACY, TIMELINESS, RELIABILITY, COMPLETENESS, OR USEFULNESS OF THE SITES AND DISCLAIMS ANY LIABILITY FOR ERRORS OR OMISSIONS IN THE SITES. THE SITES ARE PROVIDED "AS-IS" WITHOUT ANY WARRANTY, EITHER EXPRESS OR IMPLIED. DORIS SPIES AND/OR TALENT BENCHSTRENGTH SOLUTIONS, LLC DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF NON-INFRINGEMENT, TITLE, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR ANY WARRANTY THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THIS DOES NOT AFFECT THOSE WARRANTIES THAT ARE NOT SUBJECT TO EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THIS AGREEMENT.
ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE SITES IS ACQUIRED AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR OWN COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
9. INDEMNIFICATION
You agree to indemnify and hold harmless Doris Spies and/or Talent Benchstrength Solutions, LLC and its respective officers, directors, employees, agents, independent contractors or licensors from and against any and all claims, losses, expenses, demands or liabilities, including attorneys' fees and costs, incurred by Doris Spies and/or Talent Benchstrength Solutions, LLC in connection with any claim by a third party (including any intellectual property claim) arising out of (i) your use of the Sites and any material you access using the Sites or by any other means; (ii) a third party's use of such material that you access using the Sites and make available to such third party; or (iii) your violation of this Agreement or any applicable law.
You further agree that you will cooperate fully in the defense of any such claims. Doris Spies and/or Talent Benchstrength Solutions, LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you shall not in any event settle any such claim or matter without the written consent of Doris Spies and/or Talent Benchstrength Solutions, LLC.
10. LIMITATION OF LIABILITY
Under no circumstances shall Doris Spies and/or Talent Benchstrength Solutions shall be liable to you or any other party for any direct, indirect, special, consequential or exemplary damages, including but not limited to, damages for lost profits, business interruption, legal claims or lawsuits, legal settlements, goodwill or other intangible losses of any kind arising from or relating in any way to (i) your use of, or inability to use, the Sites or the information contained in the Sites; (ii) any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure; and (iii) any other matter relating to the Sites, even if advised of the possibility of such damages.
11. TERMINATIONS, UPGRADES AND CANCELLATIONS
Doris Spies or Talent Benchstrength Solutions, LLC may immediately suspend any User’s access to the Sites and remove and discard any Content you submitted to the Sites for any reason if Doris Spies and/or Talent Benchstrength Solutions, LLC believes you have violated or acted inconsistently with the terms of this Agreement. Termination of your access to the Sites may be enacted without prior notice. Doris Spies and/or Talent Benchstrength Solutions, LLC will not be liable to you or any third-party for termination of your access to the Sites.
In the event of Termination of your Subscription to the Site and/or to Doris Spies’ Content and/or The Platform due to a violation of any Terms of Use documented herein, no refund for the remaining paid portion of the User’s Subscription will be due to the User and/or to his or her employment organization. The User’s access to The Platform and to the Site will be immediately revoked if the User violates any Terms of Use.
You may cancel your account at any time by emailing [email protected] and then following the specific instructions sent to you.
Once cancellation is confirmed, you will no longer have access to The Platform and no Content from the Site may continue to be used by you, and/or by any organization or other individuals.
If you cancel a Monthly Subscription anywhere in the middle of the month, you will continue to have access to the Site and to the courses on The Platform for the remainder of that monthly cycle. Once that paid monthly subscription period that you already paid for is complete, you will not be charged again.
If you cancel an Annual Subscription anywhere in the middle of the 12-month period, you will continue to have access to the Site and to the courses on The Platform for the remainder of your Annual Cycle. If your employer paid for your Annual Subscription, your employer may make a one-time transfer of your subscription to another employee of their organization. Once that 12-month paid subscription period ends, you or your employer will not be charged again.
Enterprise Subscriptions require an Enterprise Subscription which will include cancellation terms which override the Cancellation Terms in this Agreement, if there are any conflicting Cancellation Terms.
We reserve the right to modify or terminate The Platform for any reason, without notice at any time.
Without limiting any other remedies, Doris Spies and/or Talent Benchstrength Solutions, LLC may suspend or terminate your account if we suspect that you have engaged in fraudulent activity in connection with the Site, or if you have violated any Intellectual Property terms or Copyright or Trademark laws, or if you have violated any Terms of Use.
12. RELATIONSHIP
Your use of the Sites does not create, and nothing contained in this Agreement will be deemed to establish, an employment, agency, franchise, joint venture or partnership relationship between you and Doris Spies and/or Talent Benchstrength Solutions, LLC. Use of the Sites does not provide you with the authority to enter into any agreements for or on behalf of Doris Spies and/or Talent Benchstrength Solutions, LLC. Moreover, use of the Sites does not grant you the authority, either express or implied, to incur obligations or liability on behalf of Doris Spies and/or Talent Benchstrength Solutions, LLC. By using the Sites, you agree that no attempts to subject Doris Spies and/or Talent Benchstrength Solutions, LLC to any such obligations or liability will be made.
13. WAIVER
Failure by Doris Spies and/or Talent Benchstrength Solutions, LLC to enforce any of its rights under this Agreement shall not be construed as a waiver of those rights or any other rights in any way whatsoever.
14. CHOICE OF LAW AND DISPUTE RESOLUTION
This Agreement and all other aspects of your use of the Sites shall be governed by and construed in accordance with the laws of the state of California, U.S.A., without regard to its conflict of laws rules. You agree that you will notify Doris Spies in writing of any claim or dispute concerning or relating to your use of the Sites and give Doris Spies a reasonable period of time to address it before bringing any legal action, either individually or as a class member against Doris Spies and/or Talent Benchstrength Solutions, LLC. You agree to submit to the personal jurisdiction of the state and federal courts located in the City and County of San Diego, California, U.S.A.
You further agree to participate in and to pay for any and all expenses associated with formal Mediation of the dispute before bringing any legal action against Doris Spies and/or Talent Benchstrength Solutions. Doris Spies agrees to participate in such Mediation, but retains no responsibility nor liability to incur expenses associated with Mediation to resolve the dispute, unless Doris Spies and/or Talent Benchstrength Solutions, LLC is the entity who claims the dispute.
Both the User and Doris Sims and/or Talent Benchstrength Solutions, LLC agree to communicate and to work in good faith to resolve conflicts and disputes prior to progressing to Mediation, and prior to bringing any legal action against the other party.
15. OTHER AGREEMENTS
This Agreement shall be subject to any other agreements you have entered into with Doris Spies and/or with Talent Benchstrength Solutions, LLC. If any such agreements conflict with the terms of the instant Agreement, the other agreements shall control.
16. SEVERABILITY
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall be enforced to the fullest extent possible, and the remaining provisions of the Agreement shall remain in full force and effect.
17. MODIFICATION
Doris Spies and/or Talent Benchstrength Solutions, LLC reserves the right to modify this Agreement at any time, with or without notice to you. Thus, you should check the Agreement periodically for changes. You agree that Doris Spies and/or Talent Benchstrength Solutions, LLC will not be liable to you or any third party for any modifications to the Agreement.
18. SECTION HEADINGS
The headings of Sections in this Agreement are provided for convenience only and will not affect its construction or interpretation.
19. PAYMENT TERMS
A valid credit card is required for accounts able to process orders using a live payment gateway. The User agrees that Doris Spies and Talent Benchstrength Solutions, LLC will continue to charge the User for The Platform Subscription until the User submits a request for Cancellation of their Account.
Users who select a Monthly Subscription will be billed in 30-day intervals. Users who select an Annual Subscription will e billed in 12-month intervals. Users who select an Enterprise Subscription will be invoiced and a separate Agreement with Payment Terms will be required between the Enterprise client and Talent Benchstrength Solutions, LLC and Doris Sims Spies.
If you are resident in the U.S., Taxes may apply to your subscription to or purchase of some or all of Doris Spies’ and/or Talent Benchstrength Solutions, LLC products and services, including without limitation, your subscription to or purchase of The Platform ecommerce services (“Taxable Offerings”). Any applicable Taxes are based on the rates applicable to the U.S billing address you provide to us, and will be calculated at the time of purchase of the applicable Taxable Offerings. Such amounts are in addition to fees for the Taxable Offerings and will be billed to the credit card you use to pay for the Taxable Offerings. If you are exempt from payment of such Taxes, you must provide us with an original certificate that satisfies applicable legal requirements attesting to tax-exempt status. Tax exemption will only apply from and after the date we receive such a certificate.
If you are not a resident of Canada or the U.S., and not subject to Canadian Goods and Services Tax/Harmonized Sales Tax (GST/HST) in respect of your subscription to or purchase of Doris Spies’ and/or Talent Benchstrength Solutions, LLC products and services, we will attempt during the purchase process to verify your location and will not charge you tax on top of your purchase.
All fees are exclusive of applicable federal, provincial, state, local or other governmental sales, goods and services, harmonized or other taxes, fees or charges now in force or enacted in the future (“Taxes”).
Any delinquencies or non-payment of Subscription fees exceeding a 2-week delinquent period may result in cancellation of the User’s subscription to The Platform. Doris Spies and/or Talent Benchstrength Solutions, LLC reserves the right to submit an invoice for payment of any remaining Subscription payments due from the User, and/or the User’s employer, if the Subscription was paid for by the Employer, pursuant to the proper Cancellation process defined in this Terms of Use document.
Should we request it, you must provide us with a statement by email to [email protected] that: (i) you are not a resident of Canada or the U.S.; (ii) you are not GST/HST registered; and (iii) to the extent that you are an individual and not a corporation or other legal entity, you were not physically present in Canada when Doris Spies’ and/or Talent Benchstrength Solutions, LLC products and services were made available to you. The statement should also include your complete home and/or business location address. To the extent that you are an individual and not a corporation or other legal entity, and your location of usage changes to a place in Canada or the U.S., you must advise us immediately by email to [email protected].
Doris Spies and/or Talent Benchstrength Solutions, LLC does not provide refunds.
No paid Subscription may be sold to or transferred to any other User without the express written authorization from Doris Sims Spies ([email protected]).
Users are responsible for any credit, debit or other bank fees associated with and/or charged by their own financial institutions. Users may request to be invoiced for their subscription rather than paying by credit or debit card for Annual Subscriptions only.
The Course Content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit Card information is always encrypted during transfer over networks.
Prices for Users of The Platform are subject to change upon 30-days notice from Doris Spies and/or Talent Benchstrength Solutions, LLC and/or any successor or person associated with Talent Benchstrength Solutions, LLC. Users will receive notification via email, using the email address associated with their User Account.
Doris Spies and/or Talent Benchstrength Solutions, LLC reserves the right at any time to time to modify or discontinue, The Platform, including course content, videos, downloadable handouts, or any other content, design or process associate with The Platform with or without notice.
Neither Doris Spies nor Talent Benchstrength Solutions, LLC shall be liable to you or to any third party for any modification, price change, suspension or discontinuance of The Platform.

During your use of and Subscription to The Platform, you may be using and/or have access to third party tools over which Doris Spies and/or Talent Benchstrength Solutions, LLC neither monitors nor has any control or input.

Any use by you of optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve the terms on which tools are provided by the relevant third-party provider(s).
This Agreement will be binding on, inure to the benefit of, and be enforceable against the parties to this Agreement and their respective successors and assignees. Neither the course of conduct between the parties to this Agreement nor trade practice shall serve to modify any provision of this Agreement. All rights not expressly granted herein are hereby reserved.
